Terms of Service

This is a starting template. Pactx, Inc. recommends having legal counsel review and customize these Terms before relying on them for consumer protection, dispute resolution, or jurisdictional compliance.

These Terms of Service ("Terms") form a binding agreement between you and Pactx, Inc. d/b/a Edgebrief ("Edgebrief", "we", "us") when you subscribe to the Edgebrief weekly competitive intelligence service (the "Service"). By signing up, paying, or otherwise using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and authorized to enter into a contract on behalf of yourself or the entity you represent. The Service is intended for businesses and the people who run them.

2. The Service

Edgebrief delivers a weekly synthesized brief on competitive Google search ad activity for the keywords and competitor brands you select. We capture publicly visible search results, compute changes week over week, generate a natural-language brief using Anthropic's models, and deliver it to you by email.

We do not guarantee any particular advertising outcome, click-through rate, conversion rate, or revenue from acting on the brief. The brief is informational analysis, not professional marketing advice.

3. Subscriptions, billing, and cancellation

We offer two billing cycles for each plan:

  • Monthly subscriptions are billed every month and renew automatically until canceled. Pricing for each plan is shown on the marketing site at the time you sign up.
  • Annual subscriptions are billed once upfront for a full 12-month term and renew automatically each year on the anniversary of your purchase. The annual price is discounted compared to paying month-to-month.

Cancellation. You can cancel any time from the Settings page (which redirects to the Stripe Customer Portal) or by emailing us at legal@edgebrief.io. Cancellation stops auto-renewal:

  • Monthly: you retain access through the end of the current billing month, then service ends. No partial-month refunds.
  • Annual: you retain access through the end of the current 12-month term, then service ends. We do not refund unused months when you cancel an annual subscription early; cancellation only stops the next renewal. By selecting an annual plan you acknowledge and agree to this no-partial-refund policy.

Cooling-off (EU and UK only). If you are a consumer resident in the EU or UK, you may be entitled to a statutory cooling-off period (typically 14 days) under distance-selling regulations. To exercise this right, email legal@edgebrief.io within 14 days of your initial subscription purchase. Note: by signing up and beginning use of the Service before the cooling-off period expires, you may waive your right to a refund for any usage that has occurred.

Other terms.

  • Refunds outside the cases above are at our sole discretion.
  • We may change pricing for new subscribers at any time. Existing subscribers will be notified of any price increase at least 30 days before the next renewal.
  • Switching from monthly to annual (or annual to monthly) is allowed at any time. Stripe handles proration of the change automatically; downgrades may apply at the next renewal rather than immediately.
  • If a payment fails, we will attempt to retry per Stripe's standard dunning. If recovery fails, the subscription may be canceled and the brand deactivated.

4. Your responsibilities

  • You are responsible for keeping your account credentials secure.
  • You may only track competitor domains and keywords for which you have a legitimate business interest. Do not use Edgebrief to harass, stalk, or collect non-public information about a person or entity.
  • You will not attempt to reverse-engineer, scrape, or otherwise abuse the Service or its underlying APIs.
  • You will comply with all applicable laws , including advertising, competition, and data protection laws , when acting on the brief.

5. Intellectual property

  • Your content. The keywords, competitor lists, and brand information you provide remain yours. You grant us a limited license to use that information to operate the Service.
  • Our content. The Service itself , including the codebase, prompts, brief structure, and design , is owned by Pactx, Inc. The briefs we generate for you are licensed to you for your internal use; you may share them inside your organization but may not republish them publicly without permission.
  • Public ad data. Ad copy and product information that appears in your brief originated from public Google search results. Trademarks remain with their respective owners.

6. Confidentiality

We treat your account information, brand setup, and brief history as confidential and apply reasonable safeguards to protect them. Internal access is limited to employees or contractors with a need-to-know.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE BRIEF WILL BE FREE OF INACCURACIES OR THAT ACTING ON IT WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGEBRIEF AND PACTX, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS CAPPED AT THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

9. Indemnification

You agree to indemnify and hold harmless Pactx, Inc. and its officers, employees, and agents from any third-party claim arising from your misuse of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access if you breach these Terms, misuse the Service, or fail to pay. We will give reasonable notice unless the breach poses imminent harm. On termination, the licenses granted to you end and we may delete your account data per our Privacy Policy retention schedule.

11. Changes to the Terms

We may update these Terms from time to time. The "last updated" date at the top reflects the most recent revision. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. You and we agree to bring any dispute in the state or federal courts located in Delaware, except where local consumer protection law requires otherwise.
